Regulatory Requirements

1. Licensing

Companies which carry on regulated activities such as travel agency, education, financial advisory, executive search will need to seek approval from the relevant government authorities before commencement of businesses. The government authorities in charge of the regulated business will prescribe the criteria (such as minimum capital commitment, local participation, qualification of chief executive officer, etc) to be fulfilled before the licence can be issued. Please consult us if you are unsure whether your intended business requires special licence.

2. Medisave Contribution for Sole Proprietors and Partners

Sole Proprietors and Partners are considered self-employed individuals and they would need to ensure that they have sufficient medisave contributions in their Central Provident Fund (“CPF”) accounts prior to registration or renewal of their business registration.

3. Annual Compliance Requirements

Annually, every locally incorporated company must hold its Annual General Meeting (“AGM”) of the shareholders for the purpose of tabling its annual accounts. The AGM must be held within 18 months from the date of incorporation if this is the First AGM or within 15 months from the last AGM for second and subsequent meetings. In addition, the annual accounts to be tabled at AGM must not be more than 6 months old.

4. Exempt Private Company

An Exempt Private Company is not required to do an annual audit of its accounts if its sales turnover for the year is less than S$5 million. Additionally, an Exempt Private Company which meets the criteria may be exempted from filing its accounts with ACRA. To be an Exempt Private Company, the entity must have less than 20 shareholders none of them being a company or corporation. Under the Companies Act (the “Act”) which is the governing legislation for local registered entities, an Exempt Private Company is able to extend loans to its Directors which are normally prohibited under the Act.

5. Singapore Branch

A Singapore Branch is not considered to be a tax resident of Singapore so it will not enjoy the tax benefits given by the Singapore government to locally registered companies. Likewise, a Singapore Branch cannot take advantage of the various double tax treaties which Singapore has signed with other countries. This is an important point of consideration for foreign companies deciding to form a local company or register a branch office in Singapore.

6. Goods & Services Tax

If your annual sales turnover is expected to reach S$1 million, it is mandatory for your entity to be registered as a Goods & Services Tax (“GST”) trader. A GST trader is required to file quarterly GST returns with the Comptroller of GST showing the GST collected from customers (output tax) as against the GST levied on it by its suppliers (input tax).

7. Hiring of Local Staff

If you plan to hire local staff, ie. Singaporeans or Singapore Permanent Residents, it is compulsory for the company which is the employer to contribute to the social welfare scheme more commonly known as CPF or Central Provident Fund. Depending on the prevailing economic conditions, the government may elect to increase or reduce the employer’s CPF rate.

8. Office Premises

Every company needs to have a registered office address within Singapore to which all official documents will be sent to. The registered office address need not be the same as the place of business. If you are considering to rent an office for your business, it is suggested that you engage the services of a qualified realtor who will be able to help you identify the ideal location at the most competitive rate. Office tenure is usually for 2 years but it can be extended subject to negotiation.
